Preamble

This Tictag Tagger Agreement (the "Agreement") is a legally binding contract between you ("Tagger", "you", or "your") and Tagteam Technologies Pte. Ltd. (UEN: 201926268M) and its affiliates (collectively, "Tictag", "we", "us", or "our") governing your access to and use of the Tictag platform, mobile application, web application, API, and all associated products and services (collectively, the "App").

This Agreement incorporates by reference: (a) the Tictag Privacy Policy; (b) the Tictag App Privacy Policy; and (c) any payment terms, guidelines, policies, and instructions published on the App or otherwise communicated to you by Tictag (together, the "Incorporated Policies"). In the event of any conflict between this Agreement and any Incorporated Policy, this Agreement shall prevail unless expressly stated otherwise.

BY ACCESSING, REGISTERING FOR, OR USING THE APP IN ANY MANNER, YOU UNCONDITIONALLY ACCEPT AND AGREE TO BE BOUND BY THIS AGREEMENT IN ITS ENTIRETY. IF YOU DO NOT AGREE, YOU MUST IMMEDIATELY CEASE ALL USE OF THE APP AND DELETE YOUR ACCOUNT.

You represent that you are at least 18 years old and have full legal capacity to enter into this Agreement on your own behalf, or, if acting on behalf of a legal entity, that you have authority to bind that entity. This Agreement applies to all Taggers globally, including those operating in Singapore, South Korea, Vietnam, Indonesia, Hong Kong SAR, and all other jurisdictions where the App is accessible.

1. Registration

1.1 Accurate Information

When registering for the App, you must provide complete, accurate, and current information, including your full legal name, a valid email address, and any additional identity verification information Tictag may require from time to time in its sole discretion ("Registration Data"). You must ensure that your Registration Data remains up to date at all times. Tictag reserves the right to suspend or terminate any account where Registration Data is found to be incomplete, inaccurate, or misleading, without liability to you and without any obligation to refund or compensate outstanding balances.

1.2 Eligibility

To register as a Tagger, you must satisfy all of the following requirements at all times:

You are 18 years of age or older. If you are under 18, you must have obtained the express written consent of a legal guardian, who accepts this Agreement on your behalf and assumes full responsibility for your compliance with it.
You hold a valid and active email address accessible only by you.
You are not already registered as a Tagger under a separate account. Maintaining multiple accounts is strictly prohibited and may result in immediate termination of all accounts and forfeiture of all accrued Coins.
Your registration and participation as a Tagger does not violate any applicable law, regulation, or obligation owed to any third party, including any employer, educational institution, or government body.
You are not a resident of any jurisdiction in which Tictag's activities are prohibited or restricted by applicable sanctions, export control laws, or government orders.

1.3 Account Security

You are solely and exclusively responsible for maintaining the confidentiality and security of your account credentials, including your password. You may not share, transfer, or permit any third party to access or use your account under any circumstances. Any action taken through your account will be deemed to have been taken by you personally, and you bear full responsibility and liability for all such actions regardless of whether they were authorised by you. If you suspect any unauthorised access to or use of your account, you must notify Tictag immediately at tic@tictag.io. Tictag shall not be liable for any loss, damage, or claim arising from your failure to maintain account security.

2. Tasks and Content

2.1 Nature of Tasks

Tictag or Tictag's clients may make tasks available on the App (each, a "Task"). Tasks may involve, without limitation, image annotation, video labelling, data classification, transcription, survey responses, model evaluation, or any other data contribution activity. Tictag reserves the right to add, modify, suspend, or remove any Task at any time without notice and without liability to you.

2.2 Content Within Tasks

While Tictag takes reasonable steps to review Task content, Tictag does not warrant that Tasks will be free from offensive, discriminatory, graphic, or otherwise objectionable content. You acknowledge and accept that exposure to such content is an inherent aspect of performing Tasks, and you waive any claim against Tictag arising from your exposure to Task content. If you encounter content that you believe violates Tictag's policies, you must report it to Tictag immediately. Your reporting obligation does not entitle you to withhold or refuse completion of other Tasks.

2.3 Task Standards and Quality

Tictag sets the quality standards applicable to each Task. Tictag may, in its sole and absolute discretion, reject any Task output that does not meet the applicable quality standards, without providing reasons and without any obligation to compensate you for rejected work. Repeated low-quality submissions or pattern of rejection may result in suspension or permanent termination of your account at Tictag's sole discretion.

3. Use of the App

3.1 Tagger Obligations

As a Tagger, you agree to comply with the following obligations at all times:

You will apply genuine human intelligence, skill, and independent judgment in performing all Tasks. You will not use artificial intelligence tools, machine learning systems, bots, scripts, macros, browser automation, or any other automated or semi-automated methods to assist in or substitute for your performance of Tasks.
You will provide complete, accurate, and truthful responses and outputs for all Tasks to the best of your ability.
You will perform Tasks exclusively through the App, unless Tictag provides express written authorisation for alternative methods.
You acknowledge that your Task outputs may be used by Tictag or Tictag's clients for commercial AI training, model development, research, and other purposes, and you consent to such use without any additional compensation.
You will not discuss, disclose, or reproduce the content of any Task with or to any third party, including on social media or other public platforms.

3.2 Work Made for Hire and Intellectual Property Assignment

ALL OUTPUT, DATA, ANNOTATIONS, LABELS, RESPONSES, IMAGES, RECORDINGS, TRANSCRIPTIONS, AND ANY OTHER WORK PRODUCT YOU PRODUCE IN CONNECTION WITH ANY TASK (COLLECTIVELY, "TASK OUTPUT") IS A "WORK MADE FOR HIRE" AS DEFINED UNDER APPLICABLE COPYRIGHT LAW, CREATED FOR THE BENEFIT OF TICTAG. TO THE FULLEST EXTENT PERMITTED BY LAW:

All ownership rights, title, and interest, including all intellectual property rights, in and to all Task Output vest exclusively in Tictag immediately upon creation, with no further act required by either party.
You irrevocably waive all moral rights, author's rights, performer's rights, and any other proprietary or personal rights you may hold in Task Output in all jurisdictions where such waiver is permitted.
To the extent any rights in Task Output do not automatically vest in Tictag under applicable law, you hereby irrevocably assign, transfer, and convey to Tictag all right, title, and interest therein, including all intellectual property rights, throughout the world and in perpetuity, without any right to compensation.
Tictag may use Task Output for any purpose, including training, fine-tuning, validating, and commercialising AI and machine learning models, without restriction and without any obligation to account to you.
You grant Tictag an irrevocable, perpetual, worldwide, royalty-free, sublicensable licence to use your likeness, voice, biometric features, and any other personal attributes captured in Task Output for AI development and commercial purposes, to the extent permitted by applicable law.

3.3 No Circumvention

You may not engage any third party to perform Tasks on your behalf, allow any third party to access your account, or otherwise circumvent the requirement for personal performance of Tasks. Any Task Output produced by a third party using your account will be deemed a breach of this Agreement and may result in immediate account termination and forfeiture of all accrued Coins, without any compensation or recourse.

3.4 Independent Contractor Status

Taggers perform Tasks as independent contractors and not as employees, agents, partners, or joint venturers of Tictag. You expressly acknowledge and agree that:

You are solely responsible for all taxes, levies, duties, social security contributions, and other statutory obligations applicable to your income as an independent contractor in your jurisdiction.
You are not entitled to any employment benefits, including without limitation paid leave, sick pay, health insurance, retirement benefits, worker's compensation, or redundancy pay.
Tictag does not direct, supervise, or control the manner in which you perform Tasks beyond setting Task specifications and quality standards.
Nothing in this Agreement creates or implies any employment, agency, or partnership relationship between you and Tictag.
You will not represent yourself as an employee or agent of Tictag to any third party.
In the event that any competent authority determines that you are an employee of Tictag for any purpose, such determination shall be limited to that authority's jurisdiction and shall not affect the independent contractor status established by this Agreement in any other context.

3.5 Prohibited Uses

You may not use the App in any manner that:

Is unlawful, fraudulent, misleading, or deceptive under any applicable law or regulation.
Constitutes or facilitates competition with Tictag, including using the App to gather information for or provide services to any competing crowdsourcing, data labelling, or AI training platform.
Involves automated data collection, scraping, crawling, or extraction from the App using any tool, script, or technology.
Damages, disrupts, impairs, or overburdens the App, its infrastructure, or any connected network or system.
Violates the intellectual property, privacy, or other rights of Tictag, its clients, or any third party.
Involves submission of false, fabricated, plagiarised, or deliberately inaccurate Task Output.

3.6 Feedback and Submissions

Tictag may enable tracking, rating, and review mechanisms to monitor Tagger performance. All such data belongs exclusively to Tictag and may be used for quality assurance, model training, and operational improvement. For any other materials you provide to Tictag outside of Tasks, including scripts, tools, plug-ins, or suggestions (each, a "Submission"), you grant Tictag an irrevocable, perpetual, worldwide, royalty-free, sublicensable licence to use, reproduce, adapt, commercialise, and sublicense that Submission for any purpose, without compensation or attribution to you.

3.7 Monitoring and Audit

Tictag reserves the right to monitor, audit, and review all activity on the App, including Task performance, at any time and without prior notice. You consent to such monitoring and acknowledge that any information obtained may be used by Tictag for quality assurance, fraud detection, legal proceedings, or any other lawful purpose. Tictag may share audit findings with clients or authorities where required or where Tictag determines it is appropriate to do so.

4. Coins

Tictag may award virtual currency units ("Coins") to Taggers for the performance of Tasks or participation in promotional activities. You acknowledge and agree that:

Coins have no monetary value, are not legal tender, and cannot be exchanged for cash under any circumstances.
Coins are not transferable, assignable, or negotiable and may only be redeemed within the App for Rewards made available by Tictag.
Tictag reserves the right to award, adjust, deduct, forfeit, or cancel Coins at its sole discretion, including in response to fraud, breach of this Agreement, or account termination.
Tictag may modify the value, earn rate, redemption rate, or availability of Coins at any time without notice.
Accrued but unredeemed Coins will be forfeited immediately upon termination of your account for any reason, without any right to compensation.
Coins will automatically expire if your account is inactive for a continuous period of twelve (12) months.

5. Rewards

Coins may be redeemed for items made available by Tictag ("Rewards") at Tictag's sole discretion. You agree that:

The Rewards catalogue, including the types, availability, and Coin redemption rates of Rewards, may be modified, suspended, or discontinued by Tictag at any time without notice.
Tictag may decline any Reward redemption request without providing reasons, including where Tictag has reason to believe the Coins were obtained fraudulently or in breach of this Agreement.
Rewards are non-transferable, have no monetary value, and may not be exchanged or returned for Coins or cash once redeemed.
Tictag's determination of eligibility for any Reward is final and binding.

6. Payment Terms (Where Applicable)

Where Tictag, in its sole discretion, elects to offer monetary compensation for certain Tasks ("Task Fees"), the following terms apply:

Task Fees, if any, will be communicated to you prior to your acceptance of the relevant Task. Task Fees are not guaranteed and may be varied or withdrawn by Tictag before a Task is completed.
Tictag reserves the right to withhold, reduce, or forfeit Task Fees in respect of any Task Output that is rejected for quality, compliance, or fraud reasons.
Tictag may set minimum payout thresholds below which accumulated Task Fees will not be disbursed. Tictag is under no obligation to disburse Task Fees that fall below any applicable threshold.
All Task Fees are stated exclusive of any taxes, levies, or withholding obligations applicable in your jurisdiction. You are solely responsible for all tax obligations arising from payments received under this Agreement.
Tictag's records of Task completion and payment calculations are conclusive and binding absent manifest error.

7. Taxes

You are solely responsible for determining, collecting, withholding, reporting, and remitting all taxes, duties, levies, and statutory contributions applicable to your participation in the App, including income tax, self-employment tax, VAT/GST, and any other taxes arising from the receipt of Coins, Rewards, or Task Fees in your jurisdiction. TICTAG IS NOT OBLIGATED TO DETERMINE, ADVISE ON, WITHHOLD, COLLECT, OR REMIT ANY TAXES ON YOUR BEHALF UNDER ANY CIRCUMSTANCES. You agree to indemnify and hold harmless Tictag from any tax liability, penalty, or claim arising from your failure to comply with your tax obligations.

8. Compliance

You must use the App only for lawful purposes and in full compliance with all applicable laws, regulations, sanctions, and government orders in your jurisdiction, including those relating to data protection, intellectual property, export controls, and anti-money laundering. You represent and warrant that your participation as a Tagger does not violate any law or obligation applicable to you, including obligations owed to any current or former employer.

9. Information, Confidentiality, and Publicity

9.1 Tictag's Use of Information

By registering for and using the App, you authorise Tictag to collect, process, store, use, and disclose information about you and your activities in accordance with the Tictag Privacy Policy, including for the purposes of operating the App, improving Tictag's AI models and products, and commercialising aggregated or anonymised data. You further consent to Tictag sharing information about your Tagger performance (including badges, Coins, ratings, and activity metrics) with Tictag's clients, partners, and affiliates.

9.2 Your Use of Information

You may not use any data, content, or information obtained through your use of the App, including Task content, client information, and other Taggers' information, for any purpose other than performing Tasks. Without limitation, you may not use such information for solicitation, advertising, marketing, competitive intelligence, research, or any other commercial purpose.

9.3 Confidentiality

You may receive information relating to Tictag, its clients, its business operations, its technology, or its projects that is not publicly available ("Confidential Information"). You agree that:

All Confidential Information is and remains the exclusive property of Tictag or the relevant client.
You will use Confidential Information solely for the purpose of performing Tasks and for no other purpose.
You will not disclose, reproduce, or distribute Confidential Information to any third party, including on social media, in press releases, or in any other public forum.
Your confidentiality obligations survive termination of this Agreement indefinitely.

9.4 Publicity

You may not issue any press release, public statement, social media post, or other communication that references Tictag, your status as a Tagger, or the content of any Task without Tictag's prior express written consent. Tictag may use your name, username, general location, performance metrics, and any anonymised Task Output in marketing materials, case studies, and product documentation without any compensation or approval from you.

10. No Warranties

THE APP, ALL TASKS, AND ALL TASK OUTPUTS ARE PROVIDED ON AN "AS IS", "WITH ALL FAULTS", AND "AS AVAILABLE" BASIS. YOUR USE OF THE APP AND PERFORMANCE OF TASKS IS ENTIRELY AT YOUR SOLE RISK. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TICTAG EXPRESSLY DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION: (A) ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, OR NON-INFRINGEMENT; (B) ANY WARRANTY THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS; (C) ANY WARRANTY REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF TASK CONTENT OR TASK OUTPUTS; OR (D) ANY WARRANTY THAT TASKS WILL BE CONTINUOUSLY AVAILABLE OR THAT ANY SPECIFIC VOLUME OF TASKS WILL BE MADE AVAILABLE TO YOU AT ANY TIME.

TICTAG MAKES NO REPRESENTATION THAT COINS, REWARDS, OR TASK FEES WILL BE MADE AVAILABLE IN ANY MINIMUM AMOUNT OR FOR ANY MINIMUM PERIOD. YOU ACKNOWLEDGE THAT TICTAG MAY WITHDRAW, REDUCE, OR DISCONTINUE ANY OF THE FOREGOING AT ANY TIME WITHOUT LIABILITY.

11. Indemnification

You agree to indemnify, defend, and hold harmless Tictag, its directors, officers, employees, affiliates, agents, licensors, and clients from and against any and all claims, actions, proceedings, losses, liabilities, damages, costs, and expenses (including reasonable legal fees and disbursements) arising out of or in connection with:

Any breach by you of any representation, warranty, or obligation under this Agreement or any Incorporated Policy.
Any Task you perform or submit, including any claim that your Task Output infringes or misappropriates the intellectual property, privacy, or other rights of any third party.
Your wrongful, negligent, or unauthorised use of the App, including use in breach of Section 3.5.
Any dispute between you and any other Tagger or third party arising in connection with the App.
Any claim by any tax authority arising from your failure to comply with your tax obligations under Section 7.
Any claim that your participation as a Tagger violates any applicable law or any obligation owed to a third party.

Tictag reserves the right to assume sole control of the defence of any matter subject to indemnification by you, at your cost and expense. You may not settle any claim that imposes obligations or liability on Tictag without Tictag's prior written consent.

12. Limitation of Liability

12.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TICTAG SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, THE APP, ANY TASK, OR ANY TRANSACTION THROUGH THE APP, INCLUDING WITHOUT LIMITATION ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, COINS, OR BUSINESS OPPORTUNITY, EVEN IF TICTAG HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12.2 TICTAG'S AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER OR IN CONNECTION WITH THIS AGREEMENT SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL TASK FEES, IF ANY, ACTUALLY PAID BY TICTAG TO YOU IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) SINGAPORE DOLLARS FIFTY (SGD 50). COINS AND REWARDS ARE EXCLUDED FROM THIS CALCULATION.

12.3 TICTAG SHALL NOT BE LIABLE FOR ANY LOSS OR DAMAGE ARISING FROM: (A) YOUR FAILURE TO MAINTAIN ACCOUNT SECURITY; (B) YOUR BREACH OF THIS AGREEMENT; (C) INTERRUPTION, SUSPENSION, OR DISCONTINUATION OF THE APP; (D) FORFEITURE OF COINS DUE TO ACCOUNT TERMINATION; OR (E) ANY CAUSE BEYOND TICTAG'S REASONABLE CONTROL, INCLUDING FORCE MAJEURE EVENTS.

13. Governing Law and Disputes

This Agreement is governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of laws principles. You irrevocably submit to the exclusive jurisdiction of the courts of Singapore in respect of any dispute or claim arising out of or in connection with this Agreement.

Notwithstanding the foregoing, Tictag may seek emergency injunctive or other equitable relief in any jurisdiction in connection with the protection of its intellectual property, Confidential Information, or other proprietary rights. You waive any right to seek injunctive or other equitable relief against Tictag in any jurisdiction other than Singapore.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU WAIVE ANY RIGHT TO BRING OR PARTICIPATE IN ANY CLASS ACTION, COLLECTIVE PROCEEDING, OR REPRESENTATIVE ACTION AGAINST TICTAG IN ANY JURISDICTION. ALL DISPUTES MUST BE RESOLVED ON AN INDIVIDUAL BASIS ONLY.

14. Termination and Suspension

14.1 Termination by Tictag

Tictag may, in its sole and absolute discretion, suspend or permanently terminate your account and access to the App at any time, with or without notice and with or without cause. Grounds for termination include, without limitation: breach of this Agreement, submission of fraudulent or low-quality Task Output, suspected use of automation, creation of multiple accounts, and any conduct Tictag determines to be harmful to the App or its community.

14.2 Effect of Termination

Upon termination or suspension of your account:

Your right to access and use the App ceases immediately.
All accrued Coins are forfeited immediately and permanently, with no right to redemption or compensation.
Any pending Task Fees below the applicable payout threshold are forfeited.
Your obligations of confidentiality, intellectual property assignment, indemnification, and all other provisions that by their nature should survive termination shall continue in full force and effect.

14.3 Termination by You

You may terminate this Agreement at any time by deleting your account through the App. Upon doing so, all accrued but unredeemed Coins will be forfeited. Tictag will retain all Task Output and any other data collected during the period of your participation in accordance with the Tictag Privacy Policy, which survives termination of this Agreement.

15. General Provisions

15.1 Entire Agreement

This Agreement, together with all Incorporated Policies, constitutes the entire agreement between you and Tictag with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings. Tictag is not bound by any terms not contained in or expressly incorporated into this Agreement.

15.2 Modifications

Tictag may modify this Agreement and any Incorporated Policy at any time, in its sole discretion, by posting the updated terms on the App or notifying you by email. Your continued use of the App following any such modification constitutes your acceptance of the revised terms. If you do not agree to the modified terms, you must immediately cease using the App and delete your account.

15.3 Assignment

You may not assign, transfer, or delegate any of your rights or obligations under this Agreement without Tictag's prior written consent. Any attempted assignment in violation of this provision is void. Tictag may freely assign this Agreement, in whole or in part, including to any affiliate, successor, or acquirer, without notice to you.

15.4 Severability

If any provision of this Agreement is held invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

15.5 No Waiver

Tictag's failure to enforce any provision of this Agreement shall not constitute a waiver of that provision or Tictag's right to enforce it in the future. All waivers by Tictag must be in writing and signed by an authorised representative of Tictag to be effective.

15.6 Notices

Tictag may provide notices under this Agreement by email to the address registered to your account, or by posting on the App. Notices sent by email are deemed received when sent. You must send all notices to Tictag through the App or to tic@tictag.io. Tictag's records of electronic communications shall be conclusive evidence of their content and transmission.

15.7 Force Majeure

Tictag shall not be liable for any failure or delay in performance under this Agreement caused by circumstances beyond Tictag's reasonable control, including natural disasters, acts of government, war, civil unrest, pandemic, infrastructure failure, or third-party service outages. Tictag's obligations shall be suspended for the duration of any such event.
